LifePoint Health, a community-focused hospital system that operates facilities in 29 states, aimed to solidify its presence as a diversified healthcare delivery network with an increased footprint in post-acute care courtesy of Kindred Healthcare’s strong experience in the post-acute care space.

NERA provided economic analysis in the acquisition of Kindred Healthcare by LifePoint Health. NERA was retained by Counsel for LifePoint Health to evaluate the potential competitive effects of the transaction and to assist the parties during engagement with the Federal Trade Commission (FTC). The NERA team, led by Dr. Subbu Ramanarayanan, made a number of submissions to the FTC demonstrating that the transaction did not raise any horizontal or vertical concerns regarding a substantial reduction in competition. 

The FTC cleared the transaction in December 2021 without any conditions. As a result of the successful transaction, ScionHealth, a new healthcare system focused on high-quality acute and post-acute hospital solutions, was launched on 23 December 2021.
