Heidelberg Materials is a major player in the construction materials sector, operating aggregates quarries and ports, cement production, and ready-mix concrete plants across the UK.
B&A Group is based in Bristol and specialises in the supply of recycled and primary aggregate as well as site clearance, earthworks, land remediation, and sustainable land regeneration. It is one of the leading construction soil and aggregate recycling companies in South West England. B&A Group had turnover in excess of £50 million in 2023.
Heidelberg Materials is committed to reaching net zero by conserving natural materials and promoting the circular economy by recycling, reusing, and reducing the use of primary raw materials. Acquiring B&A Group with its experience in recycled materials and sustainability is an important step in that strategic journey.
As both parties were active in the supply of construction materials, the Competition and Markets Authority (CMA) examined the transaction.
Senior Managing Director Grant Saggers and Director Adrien Cervera-Jackson, supported by Consultants Rafael Sambeat and Hamza Shoaib, assisted the merging parties and their legal advisors in engaging with the CMA. The empirical work involved analyses of market trends and market shares at different levels of the supply chain and in different local catchment areas.
Based on the evidence submitted, the CMA allowed the acquisition to proceed without further investigation or intervention. Heidelberg Materials announced it completed the transaction successfully on 17 May 2024.
